These Terms and Conditions ("Terms") govern your access to and use of the software products and services provided by Ramankind Inc ("Drift," "we," "us," or "our"), including our CLI tools, IDE extensions, website, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Acceptance of Terms
By creating an account, downloading our software, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date" above. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
2. Description of Services
Drift provides an AI-powered copilot for robotics simulations, offering tools that integrate with simulation environments to help developers set up, debug, and run simulations. Our Services include CLI tools, IDE extensions, and associated cloud services.
Features and usage limits vary by subscription plan and are described on our website at https://godrift.ai. We reserve the right to modify, suspend, or discontinue any part of the Services at any time.
3. Account Registration
To access certain features of the Services, you must create an account. When creating an account, you agree to:
Provide accurate and complete information
Maintain the security of your account credentials
Promptly update your information if it changes
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized access or use of your account
You may not share your account credentials or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes.

The Services, including all software, content, designs, logos, and documentation, are owned by Ramankind Inc and are protected by intellectual property laws. These Terms do not grant you any ownership rights in the Services.
Your Content and Outputs
You retain ownership of any content you submit to the Services and any outputs generated through your use of the Services, including simulation configurations, code, and other materials. You are responsible for ensuring you have the necessary rights to any content you submit.
By submitting content to the Services, you grant us a limited license to use, process, and store that content solely to provide and improve the Services.
Feedback
If you provide us with feedback, suggestions, or ideas regarding the Services, you grant us the right to use such feedback without restriction or compensation to you.
7. Subscription Plans and Payment
Subscription Plans
We offer various subscription plans with different features and usage limits as described on our website. You agree to pay all fees associated with your selected plan.
Billing
Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selection). You authorize us to charge your designated payment method for all applicable fees.

We may change our prices at any time. Price changes will take effect at the start of your next billing cycle. We will provide reasonable notice of any price increases.
Refunds
Refund requests are evaluated on a case-by-case basis. Approved refunds will be returned to the original payment method.
8. Free Tier and Trials
We may offer free tiers or trial periods at our discretion. Free tiers and trials are subject to usage limits and may be modified or discontinued at any time. We reserve the right to convert free accounts to paid subscriptions or terminate free access with notice.
9. Service Availability
We strive to maintain high availability of our Services. While we guarantee uptime for our Services, we do not guarantee that the Services will be uninterrupted, error-free, or free from vulnerabilities.
Paid subscription plans include priority support. Support response times and service level commitments, if any, are described on our website or in separate agreements.
We may perform scheduled maintenance with reasonable advance notice when possible. We are not liable for any downtime or service interruptions.
10. Third-Party Services
The Services may integrate with or rely on third-party services, including AI providers, cloud infrastructure, and payment processors. Your use of such third-party services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or content of third-party services.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE SECURE, OR BE ERROR-FREE. YOU USE THE SERVICES AT YOUR OWN RISK.
AI-POWERED FEATURES MAY PRODUCE INACCURATE OR INCOMPLETE OUTPUTS. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND VALIDATING ANY OUTPUTS GENERATED THROUGH THE SERVICES.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAMANKIND INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify, defend, and hold harmless Ramankind Inc and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
Your use of the Services
Your violation of these Terms
Your violation of any third-party rights
Any content you submit to the Services
14. Term and Termination
Term
These Terms are effective when you first access or use the Services and continue until terminated.
Termination by You
You may terminate your account at any time by contacting us or using the account deletion feature in the Services.
Termination by Us
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent activity, or extended periods of inactivity.
Effect of Termination
Upon termination, your right to use the Services will immediately cease. We will delete your account data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination will remain in effect, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
16. Dispute Resolution
Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at support@godrift.ai to attempt to resolve any dispute informally. We will attempt to resolve the dispute through good-faith negotiations for at least thirty (30) days.
Binding Arbitration
If we cannot resolve a dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California, or another mutually agreed location.
Class Action Waiver
YOU AND RAMANKIND INC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
17. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Ramankind Inc regarding the Services.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Ramankind Inc.
